Terms & Conditions

A legally binding agreement between you and JazzWorld Pakistan Limited governing your use of the Jazz RoamX travel eSIM service, offered in collaboration with Yonder Media Mobile Inc.

These Terms and Conditions (the “Terms”) constitute a legally binding agreement between You (the “User”, “You”, or “Your”) and JazzWorld Pakistan Limited (“Jazz”, “We”, “Us”, or “Our”) in relation to the Jazz RoamX travel eSIM service (the “Service”), which is offered by Jazz in collaboration with Yonder Media Mobile Inc. and its affiliates (“Yonder” or the “Provider”). The Service is made available through the RoamX mobile application, its dedicated web page, and associated digital and social channels (collectively, the “App” and/or the “Platform”). The Service is enabled and operated using Yonder’s technology platform and supporting infrastructure.

You acknowledge and agree that Your access to and use of the App/Platform will be governed by these Terms, the Privacy Policy available at jazzroamx.com/privacy (the “Privacy Policy”), and any other terms, rules, guidelines, or policies referenced herein and/or made or revised from time to time.

By accepting these Terms in any manner, or accessing or using the App/Platform, including the Service described herein, You confirm that You have read, understood, and expressly consent, agree, and undertake to abide by and be bound by these Terms and the Privacy Policy, as well as any other terms, policies, rules, and guidelines referenced herein or updated from time to time. You also specifically permit Us and the Provider to collect data relating to You, Your device, or the Service to enable Us to design, upgrade, or add new features and to ensure provision of the Service in accordance with Our policies.

If You do not agree to these Terms, the Privacy Policy, or any other applicable terms or policies, You must not use the App/Platform or purchase any eSIM or Data Bundle associated with it.

Eligibility

  1. 1.1

    You must be at least 18 years of age and possess the legal capacity to enter into a binding contract in order to purchase or use the Service. By accessing the App/Platform or purchasing any eSIM or Data Bundle, You represent and warrant that You meet this requirement and that all information You provide is true, accurate, and complete.

  2. 1.2

    The Service is available for purchase by any person in Pakistan, irrespective of their mobile network operator. You may not access or use the Service if You are a person who is barred or otherwise legally prohibited from receiving or using it under the laws of Pakistan or of any territory in which You seek to use the eSIM.

  3. 1.3

    The eSIM is intended for use exclusively outside Pakistan. You are solely responsible for ensuring that Your purchase, activation, and use of the eSIM is lawful in each destination territory, and for complying with all local laws, roaming rules, and any import, registration, or usage restrictions applicable to eSIM or connectivity services in that territory. You do so at Your own risk, and We shall have no liability arising from or in connection with such access or use.

Our Service

  1. 2.1

    Jazz RoamX is a data-only international travel eSIM service that enables You to purchase and use country-specific, regional, and global mobile data bundles (each, a “Data Bundle”) on a compatible device while travelling outside Pakistan. The Service is provisioned as an embedded SIM profile (the “eSIM”) and does not require a physical SIM card.

  2. 2.2

    The Service provides mobile data connectivity only. It does not provide voice calling, SMS or text messaging, or any Pakistani mobile number, and it does not use Jazz’s own IMSI, MSISDN, or numbering resources. Any network identifier (including any IMSI or MSISDN) associated with an eSIM is a temporary identifier allocated from the Provider’s numbering resources solely to enable data connectivity abroad, and no right, title, or interest in any such identifier passes to You.

  3. 2.3

    The eSIM functions exclusively outside Pakistan and will not provide, and is not capable of providing, connectivity within Pakistan. The Service cannot be used to obtain, activate, port, or replace a Pakistani SIM, mobile number, or mobile subscription. You acknowledge and accept this limitation as a fundamental characteristic of the Service.

  4. 2.4

    The Service, including its features, coverage, Data Bundles, pricing, layout, and interface, is continuously evolving and may vary depending on Your location, device, network conditions, and the destination selected. We and/or the Provider reserve the right to add, modify, restrict, suspend, or discontinue any Data Bundle, destination, feature, or the Service as a whole, at any time, with or without notice, subject to applicable law.

Acceptable Use and Use Limitation

  1. 3.1

    The App/Platform and the eSIM are intended solely for Your personal use. As a condition of Your use, You warrant to Us that You will not use the App/Platform, the eSIM, or the underlying connectivity for any purpose that is commercial, unlawful, fraudulent, abusive, or prohibited by these Terms or by the laws of any territory in which You use it.

  2. 3.2

    You must not:

    • (i) resell, rent, lease, sublicense, commercially redistribute, or share the eSIM, any Data Bundle, or the connectivity;
    • (ii) transfer, copy, or display the Content except as expressly permitted;
    • (iii) remove any proprietary notices or labels;
    • (iv) attempt to disable, bypass, modify, defeat, reverse-engineer, or otherwise circumvent any technical, security, provisioning, or content-protection measure used as part of the Service; or
    • (v) use the App/Platform, the eSIM, or the connectivity in any manner that could damage, disable, overburden, or impair them or interfere with any other party’s use and enjoyment.
  3. 3.3

    You are not entitled to use any measures, mechanisms, or tools (whether software or hardware) that could interfere with, manipulate, or exploit the functioning, provisioning, or billing of the App/Platform or any of the Service.

  4. 3.4

    We or the Provider may apply reasonable fair-use, throttling, traffic-management, and anti-fraud measures, and may investigate, restrict, suspend, or terminate any use that is excessive, automated, machine-generated, fraudulent, or inconsistent with ordinary personal travel use, without refund and without prejudice to any other right or remedy available to Us.

Account and Registration

  1. 4.1

    To purchase the Service, You are required to provide only a valid email address. Your eSIM, QR code, activation instructions, receipts, and related communications will be delivered to that email address and/or made available through the App/Platform.

  2. 4.2

    You confirm and warrant that all information You supply during registration on the App, including Your email address (the “Registration Data”), is accurate, current, and complete in all respects and at all times, and You agree to promptly update it as necessary. You are responsible for providing a valid and accessible email address, and We shall not be responsible for any eSIM, Data Bundle, or communication that cannot be delivered or accessed as a result of an incorrect, inaccessible, or misappropriated email address supplied by You.

  3. 4.3

    You are responsible for maintaining the confidentiality and security of Your email account, Your device, and any access credentials, and for all activity carried out through them in connection with the Service. Any purchase, activation, or use of the Service effected through Your email address or device shall be deemed to have been performed or authorised by You, unless You demonstrate that such use was neither authorised by You nor made possible by Your failure to maintain the security of Your account, device, or credentials. You must notify Us immediately through the in-app support channel if You have any reason to believe that Your account or credentials are being, or are likely to be, used in an unauthorised manner.

Device Compatibility and Accessing the Service

  1. 5.1

    Use of the Service requires a device that is eSIM-enabled and carrier-unlocked and that supports the RoamX eSIM profile (a “Compatible Device”), together with the ability to connect to a supported mobile network in Your destination. Before purchasing, You are solely responsible for confirming that Your device is a Compatible Device. Whether a device qualifies may, in some cases, depend on software, firmware, or restrictions imposed by the device manufacturer, Your network provider, or other third parties.

  2. 5.2

    You are responsible for procuring, maintaining, and paying for all hardware, software, telecommunications, and other services necessary to access and use the Service, including a Compatible Device and any internet access required to install the eSIM. Standard data, messaging, or roaming charges of any underlying or host network may apply and are Your responsibility.

  3. 5.3

    An eSIM, once installed on a device, is tied to that device and cannot be transferred, re-installed, or moved to another device. You acknowledge that the inability of Your device to install, provision, or use an eSIM, or the locking of Your device by a network provider, does not constitute a defect in the Service and does not entitle You to a refund.

  4. 5.4

    You acknowledge and agree that the availability, features, and quality of the Service may vary depending on location, time, device specifications, internet availability, network technology (3G, 4G, or 5G), speed, bandwidth, congestion, and other factors that affect or influence the operation of the App/Platform, many of which are beyond Our reasonable control.

  5. 5.5

    You must not access or use the Service through mechanisms or technologies that conceal or misrepresent Your actual geographic location, including virtual private networks or similar mechanisms, where such use is intended to circumvent the geographic scope, pricing, or restrictions of the Service. We assume no responsibility or liability arising from Your use of any such mechanism.

Purchase, Pricing and Payment

  1. 6.1

    You may purchase country-specific, regional, or global Data Bundles through the App/Platform. The data volume, coverage, Validity Period, and price of each Data Bundle are displayed at the point of purchase. You are solely responsible for selecting the correct Data Bundle and destination for Your intended travel.

  2. 6.2

    Prices are displayed in the currency shown on the App/Platform and are inclusive of applicable taxes, regulatory fees, and levies unless stated otherwise. We are not responsible for notifying You of any change in applicable taxes. You are responsible for any third-party internet access charges, bank fees, currency-conversion charges, or payment-provider fees not included within the listed price, which may vary based on Your bank, card scheme, or payment provider.

  3. 6.3

    Payment is processed through the payment methods and gateways made available on the App/Platform (each, a “Payment Method”), which may be operated by third-party payment service providers. You acknowledge that such facilities are managed independently by those providers, that You may be required to accept and comply with their terms and conditions, and that You are bound by the terms applicable to the Payment Method used in addition to these Terms. You are solely responsible for the accuracy and lawful use of the payment details You provide.

  4. 6.4

    We may change prices and run promotions at any time. Promotions, discounts, and offers are not retroactive, apply only at the time of the corresponding purchase, and are subject to their own rules where stated. Your purchase is complete, and the corresponding eSIM or Data Bundle is made available, only upon successful confirmation of payment.

  5. 6.5

    We make no representation or warranty regarding the accuracy, success, or timeliness of any payment transaction performed by a third-party payment provider, and any issue, delay, or discrepancy in payment processing must be resolved directly with the relevant payment service provider.

Activation, Validity and Data Usage

  1. 7.1

    Following a completed purchase, You will receive a QR code and installation instructions by email and/or through the App/Platform. You must follow the instructions correctly to install and activate the eSIM. If the instructions are not followed correctly, We shall not be responsible for any resulting failure to install, activate, or use the eSIM.

  2. 7.2

    The data allowance and validity period of each Data Bundle (the “Validity Period”) are as stated at the point of purchase. The Validity Period commences as described at that point (for example, upon installation, upon first successful connection to a supported network abroad, or on a stated date), after which the Data Bundle expires.

  3. 7.3

    Data is consumed against the applicable allowance until it is depleted or the Validity Period ends, whichever occurs first. Unused data expires at the end of the Validity Period and is non-refundable, non-transferable, and does not carry over. A depleted or expired Data Bundle may be replaced or supplemented by purchasing a new Data Bundle, subject to availability.

  4. 7.4

    Actual data consumption depends on Your usage, applications, destination, and host-network measurement, and may differ from Your own estimates. You are responsible for monitoring and managing Your data consumption.

Coverage, Network and Service Quality

  1. 8.1

    The Service relies on the networks of third-party mobile operators in each destination. Coverage, service area, available network technology (3G, 4G, or 5G), connection speed, and quality depend on those operators and on factors beyond Our reasonable control, including local infrastructure, network capacity, congestion, terrain, weather, and the host operators’ own configurations and restrictions.

  2. 8.2

    The Service and all connectivity are provided on an “as-is” and “as-available” basis. We and the Provider do not warrant or guarantee that connectivity will be available in any particular location, or that the Service will be uninterrupted, timely, secure, or error-free, or that any particular speed, network technology, or level of quality will be achieved. No warranty can be provided by Us in respect of these matters, and Your reliance on coverage or performance in any location is entirely at Your own risk.

  3. 8.3

    We and the Provider reserve the right to modify, correct, suspend, or discontinue the display or provision of any coverage, Data Bundle, or connectivity information at Our sole discretion.

Refunds, Cancellation and Changes

  1. 9.1

    eSIMs and Data Bundles are digital products. A Data Bundle is non-refundable once it has been delivered, installed, or activated, or once its Validity Period has commenced.

  2. 9.2

    No refund, credit, or replacement is available for a purchase made for a device that is incompatible or locked, for an incorrect destination or Data Bundle selected by You, for unused or expired data, for any attempt to use the eSIM within Pakistan, or where You have breached these Terms.

  3. 9.3

    Nothing in this Section 9 limits or excludes any right to a refund available to You under applicable consumer-protection law, or under the rules of the app store through which You purchased.

Third-Party Services and Links

  1. 10.1

    The Service depends on, and the App/Platform may contain links to or integrations with, services, systems, networks, application stores, payment gateways, and content operated by the Provider and by other third parties (“Third-Party Services”). Such Third-Party Services may not be under Our control, and We are not responsible for their content, availability, accuracy, or practices, or for any change or update to them. The inclusion of any link or integration does not imply Our endorsement of, or association with, the relevant third party.

  2. 10.2

    Any dealing between You and a third party (including any host operator, application store, or payment provider), and any terms, conditions, warranties, or representations associated with such dealing, are solely between You and that third party. We shall not be responsible or liable for any part of any such dealing, and Your use of any Third-Party Service is at Your own risk and subject to that third party’s terms and privacy policy.

Intellectual Property

  1. 11.1

    All intellectual property rights in the App/Platform, the Service, the eSIM profile, and any content provided by Us or the Provider, and all trade marks, service marks, logos, and trade names used in connection with the Service, are owned by or licensed to Us or the Provider. As between You and Us or the Provider, no right, title, or interest in any of the foregoing passes to You.

  2. 11.2

    You are granted a limited, non-exclusive, non-transferable, revocable license to use the App/Platform and the eSIM profile solely for the purpose of accessing and using the Service in accordance with these Terms.

  3. 11.3

    You must not reproduce, modify, distribute, or create derivative works of the Content, the App/Platform, or the eSIM profile, or use any of Our or the Provider’s trade marks, service marks, logos, or trade names, without Our express prior written consent.

  4. 11.4

    If You send Us or the Provider any feedback, suggestion, idea, or proposed improvement relating to the App/Platform or the Service (“Feedback”), You grant Us and the Provider a perpetual, irrevocable, worldwide, royalty-free, and transferable right to use, modify, and exploit that Feedback for any purpose without any obligation, attribution, or payment to You. Feedback is not given in confidence.

  5. 11.5

    In these Terms, “the Content” means all text, images, graphics, audio, video, data, software, QR codes, activation instructions, and other material made available or provided to You by Us or the Provider through the App/Platform, by email, or otherwise in connection with the Service.

Data Protection and Privacy

  1. 12.1

    We and the Provider process Your personal information as described in the Privacy Policy and in accordance with applicable law. Depending on Your use of the Service, this may include processing Your email address and other information relating to Your transactions, device, eSIM activation and usage of the Service, as necessary to provide, operate, maintain, secure and improve the Service, provide customer support, prevent fraud and comply with applicable legal and regulatory obligations. The Provider is responsible for operating the RoamX platform and may process personal information necessary for the provision and operation of the Service, while We may process limited personal information for purposes including customer support, commercial administration, management of the customer relationship and compliance with applicable legal obligations. Where consent is required by applicable law, We or the Provider will obtain such consent in accordance with the Privacy Policy.

  2. 12.2

    The App/Platform is hosted and operated on the Provider’s cloud infrastructure. You acknowledge and agree that Your data may be processed, transmitted, and stored by the Provider and its sub-processors, including outside Pakistan, for the purpose of providing the Service. We and the Provider apply appropriate technical and organisational measures, which may include encryption and access controls, to protect the confidentiality, integrity, and availability of Your data.

  3. 12.3

    Further detail on how Your information is collected, used, shared, retained, and protected, and on the respective roles of Jazz and the Provider in relation to Your data, is set out in the Privacy Policy, which forms part of these Terms.

Disclaimers

  1. 13.1

    To the maximum extent permitted by applicable law, the Service, the App/Platform, the eSIM, the Content, and all connectivity are provided on an “as-is” and “as-available” basis, without warranties or representations of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or uninterrupted or error-free operation.

  2. 13.2

    We and the Provider do not warrant that the Service will meet Your requirements, that connectivity will be available or continuous in any location, or that any defect will be corrected. Any material or information obtained through the App/Platform is used at Your own discretion and risk.

Indemnity

  1. 14.1

    You agree to defend, indemnify, and hold harmless Jazz and the Provider, and their respective affiliates, officers, directors, employees, and agents, from and against any and all claims, actions, proceedings, suits, settlements, penalties, fines, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys’ or other legal fees) arising from or in connection with:

    • (i) Your access to or use of the App/Platform, the eSIM, the Content, and/or the Service;
    • (ii) Your violation of any of these Terms;
    • (iii) Your violation of any third-party right, including any privacy, publicity, or intellectual property right;
    • (iv) Your breach of any applicable law, including the laws of any destination territory; and/or
    • (v) any unauthorised, improper, illegal, or wrongful use of the Service or Your email account by any person, to the extent such use was made possible by Your failure to maintain the security of Your account or credentials.
  2. 14.2

    You agree to cooperate fully in the defence of any such claim or proceeding. We and the Provider reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by You, in which event You shall cooperate in asserting any available defence.

Limitation of Liability

  1. 15.1

    To the maximum extent permitted by applicable law, in no event shall Jazz or the Provider, or their respective directors, officers, employees, affiliates, agents, contractors, principals, or licensors, be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, or for any loss of data, profits, revenue, goodwill, or opportunity, arising out of or in connection with the Service, the eSIM, the App/Platform, or these Terms, even if advised of the possibility of such damages.

  2. 15.2

    To the maximum extent permitted by applicable law, the total aggregate monetary liability of Jazz and the Provider (taken together and not separately) to You (if any) in connection with the Service and these Terms shall not exceed the amount paid by You for the Data Bundle giving rise to the claim. Where applicable law does not permit the exclusion or limitation of certain liability, the liability of Jazz and the Provider shall be limited to the extent permitted by that law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

  3. 15.3

    You are solely responsible for the accuracy and lawful use of any payment information You provide, and We and the Provider disclaim all liability for any direct, indirect, incidental, or consequential loss, including delays in processing payments or instances of card or payment fraud, arising from information provided by You or from the acts or omissions of any third-party payment provider.

Suspension and Termination

  1. 16.1

    We or the Provider reserve the right to immediately suspend, limit, restrict, or terminate Your access to and use of the App/Platform, the eSIM, and/or the Service at any time, and without refund, if You breach these Terms, violate any applicable law, rule, or regulation, or engage in any fraud, abuse, or inappropriate conduct in relation to the Service. We will provide You with reasonable prior notice before taking any such action, except where immediate action is necessary to prevent fraud or harm, and except where notice is prohibited by law or legal process. Neither We nor the Provider shall be liable to You or any other person in respect of any such suspension, limitation, restriction, or termination.

  2. 16.2

    Without limiting the foregoing, We or the Provider may restrict or suspend Your access for cause, including:

    • (a) requests from law enforcement or other governmental or regulatory authorities;
    • (b) unexpected technical or security issues or problems; or
    • (c) a reasonable belief that Your account, email address, or the Service is being used fraudulently or for any purpose other than its intended purpose and in accordance with these Terms.
  3. 16.3

    To the fullest extent permitted by law, We and the Provider will not be liable to You or to any third party for any such suspension, restriction, or termination. Termination of these Terms for any reason shall not affect any obligation to pay amounts already due, and upon termination all rights and licences granted to You under these Terms shall immediately cease, and You must forthwith cease all access to and use of the eSIM and the Service.

Force Majeure

  1. 17.1

    Neither We nor the Provider shall be liable for any failure or delay in performance, or for any unavailability of or interruption to the Service, caused by events or conditions beyond Our or their reasonable control, including without limitation acts of God, natural disasters, wars, terrorism, riots, civil commotion, epidemics, pandemics, quarantines, strikes, lockouts, floods, fires, technical or network failures, failure of public utilities, host-operator outages, cyber-attacks, changes in or the introduction of laws or regulations, and governmental or regulatory orders (each, a “Force Majeure” event). We and the Provider disclaim any liability arising in such Force Majeure events.

Governing Law and Dispute Resolution

  1. 18.1

    These Terms, and any dispute or claim arising out of or in connection with them or the Service (including any non-contractual dispute or claim), are governed by and shall be construed in accordance with the laws of the Islamic Republic of Pakistan.

  2. 18.2

    The courts at Islamabad shall have exclusive jurisdiction to settle any such dispute or claim, subject to any mandatory consumer-protection rights available to You under applicable law. Before initiating any proceedings, You agree to first raise the matter through the in-app support channel so that We may attempt to resolve it in good faith.

Additional Provisions

  1. 20.1

    If any provision of these Terms is held to be invalid, void, or unenforceable, that provision shall be considered severable from the remaining provisions, which shall continue in full force and effect.

  2. 20.2

    We reserve the right, at any time and from time to time, upon not less than fifteen (15) days’ prior notice to You through the App/Platform or by email for material changes, and upon posting for non-material changes, to update, revise, supplement, and otherwise modify these Terms and the Privacy Policy, and to impose new or additional rules, policies, terms, or conditions on Your use of the Service (“Additional Terms”). Material changes take effect on the date stated in the notice, which shall be not less than fifteen (15) days after the notice is given; non-material changes take effect when posted. Notwithstanding the foregoing, changes required by applicable law, regulatory direction, or to address a security risk may take effect immediately upon notice to You. Your continued use of the Service after the effective date will be deemed to constitute Your acceptance of such Additional Terms. If You do not agree, You must stop using the Service.

  3. 20.3

    These Terms do not, and shall not be construed to, create any partnership, joint venture, agency, or employer-employee relationship between You and Jazz or the Provider.

  4. 20.4

    You may not assign, transfer, or sublicense any or all of Your rights or obligations under these Terms without Our express prior written consent. We may assign, transfer, delegate, or sublicense any or all of Our rights or obligations under these Terms, including to the Provider or an affiliate, at any time.

  5. 20.5

    Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

  6. 20.6

    These Terms, together with the Privacy Policy and the purchase details displayed at the point of sale, constitute the entire agreement between You and Us governing Your use of the Service, and supersede all prior discussions and agreements. Should these Terms require to be stamped under any applicable stamp-duty law, You shall bear such stamp duty and comply with the relevant stamping obligations, and We shall not be responsible for such payment.
